These terms and conditions ("Terms of Service") represent the contract between you and ParishShare. By using the parishshare.com website ("Service"), you are agreeing to be bound by the Terms of Service.

ParishShare reserves the right to update and change the Terms of Service from time to time without notice. Any new functionality or tools that enhance the Service will be subject to the Terms of Service. Continued use of the Service after such changes constitutes consent to such changes.

Your Account

• You must be 13 years or older to use this Service.
• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
• You must provide a valid email address, along with any other information requested in order to complete the sign up process.
• You are responsible for maintaining the security of your account. ParishShare will not be liable for any loss or damages from your failure to comply with this security obligation.
• You are responsible for all content posted and activity that occurs under your account.
• One person or legal entity may not maintain more than one free account.
• You may not share a Login to the Service (identified by a unique username and password) among multiple individuals.
• You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

General

• The service is provided on an “as is” and “as available” basis. Your use of the Service is at your sole risk.
• Verbal, physical, written or other abuse (including threats of abuse or retribution) of any person will result in immediate account termination.
• You must not use your account to “spam” or send out unreasonable amounts or types of messages to people.

• You understand that Parish Share uses third party partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

• We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.
• You expressly understand and agree that Parish Share shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if We have been advised of the possibility such damages could occur), resulting from: (a) the use or the inability to use the Service; (b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (c) unauthorized access to or alteration of your transmissions or data; (d) conduct or statements of any third party on the service; (e) or any other matter relating to the Service.
• You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service or any other Parish Share service.
• You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
• Parish Share does not warrant that (a) the service will meet your specific requirements, (b) the service will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the service will be accurate or reliable, (d) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (e) any errors in the Service will be corrected. But we will do our best to satisfy any reasonable request.
• The failure of Parish Share to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. The Terms of Use constitutes the entire agreement between you and Parish Share and governs your use of the Service, superceding any prior agreements between you and Parish Share (including, but not limited to, any prior versions of the Terms of Use).
• The Service only provides that the emails, text messages and other updates and notifications are processed and delivered properly. We are not responsible for the final delivery of the notifications or updates as they rely on other servers, carriers or services that are out of our control.

Payments, Refunds, Upgrading and Downgrading

A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number. The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

An upgrade from the free trial to any paying plan will end your free trial. You will be billed for your first month immediately upon upgrading.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties. You agree to pay for any such taxes that might be applicable to your use of the Service.

Violation

Violation of any of the terms specified in the Terms of Service will result in the termination of your account. You hereby agree that ParishShare may, in it's sole discretion, remove or delete any content that violates these Terms of Service or that is otherwise objectionable. Furthermore, you agree that ParishShare cannot be responsible for such content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

Cancellation

You are solely responsible for properly canceling your Account. An email or phone request to cancel your Account shall not result in cancellation. You can cancel your account at any time by clicking on the Billing link in the admin area of your account. The Billing screen provides a simple cancellation link.

All of your Content will be immediately deleted from the Service upon cancellation. This information can not be recovered once your account is cancelled. If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.

Termination

ParishShare, in its sole discretion, has the right to suspend of terminate your account and refuse any and all current or future use of the Service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. ParishShare reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

ParishShare reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the ParishShare site (parishshare.com) or the Service itself.

ParishShare shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours.

ParishShare does not pre-screen Content, but ParishShare and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service.

Indemnification

You agree to indemnify and hold ParishShare, its parents, subsidiaries, affiliates, officers, partners and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service, use of your Account by any third party, the violation of the Terms Of Service by you, or the infringement by you, or any third party using your Account, of any intellectual property or other Right of any person or entity.

The Service its contents are provided "as is" and "as available" without any warranty or representations of any kind, whether expressed or implied. ParishShare is a distributor and not a publisher of the content supplied by third parties; as such, ParishShare exercises no editorial control over such content and makes no warranty or representation as to the accuracy, reliability or currency of any information, content, service or merchandise provided through or accessible via the Service. Without limiting the foregoing, ParishShare specifically disclaims all warranties and representations as the publisher of any content transmitted on or in connection with the Service or on Sites that may appear as links on the Service, or as the manufacturer of the products provided as a part of, or otherwise in connection with, the Service, including without limitation any warranties of merchantability, fitness for a particular purpose or non-infringement of third party rights.
